This Referral Agreement sets forth the
terms and conditions under which Taro Systems, Inc. (“TARO”) will pay referral
fees to persons (a "FINDER") who refer new customers (“CUSTOMER”)subscription to
viewmylisting.com
9ae (“THE SERVICE”) to Taro under the referral program set forth
herein.
1.
Relationship of the Parties. FINDER’S
relationship to TARO is that of an independent contractor. FINDER is not an
agent or employee of TARO. FINDER shall have no authority to bind TARO.
2.
Commissions. TARO shall pay FINDER a referral fee of 20% of each monthly subscription fee received from the
CUSTOMER of THE SERVICE provided that:
a.
Total referral fees paid to FINDER per individual CUSTOMER shall not exceed $59.95, and
b.
The CUSTOMER has not previously subscribed to THE SERVICE, and
c.
Referral fees are only paid on fees received from CUSTOMER to TARO, and
d.
The FINDER themselves are a active and in good standing subscriber to THE SERVICE.
3.
Duplicate Referrals. Referrals fees are only paid to a single FINDER and only the FINDER in which the new CUSTOMER
to THE SERVICE originated the “invite a friend” email link.
4.
Timing of Payment. Payment of the commission shall be automatically credited
to the FINDER’S credit card on file at TARO upon payment received by
CUSTOMER to TARO within 30 days of payment received.
5.
1099 Reporting. For tax reporting purposes, the FINDER agrees to provide 1099 information in accordance with
IRS section 6109 when requested by TARO.
6.
Miscellaneous. This Agreement constitutes the final, complete agreement of the parties with respect to its
subject matter. Taro may without notice modify the terms and conditional without
prior notice.
7.
Limitation of Liability. Under no circumstances will TARO be liable for indirect, incidental, consequential,
special, or exemplary damages arising from any provision of this Agreement.
Without limiting the foregoing, TARO aggregate liability arising with respect to
this Agreement will not exceed the total commission paid to FINDER, under this
Agreement.
Governing Law and Exclusive Jurisdiction.
This Agreement will be governed and construed in accordance with the internal
laws of the State of
Michigan. All claims,
controversies, actions, and cause of action concerning the interpretation or
enforcement of this Agreement shall be brought in the Circuit Court for Kent
County, Michigan.
